These Terms govern your use of the FloPay website at flopay.com (the “Website”) and any FloPay platform, APIs, SDKs, developer tools, dashboards, vaults, and services (collectively, the “Services”) offered by FloPay LLC, a Wyoming limited liability company (“FloPay”, “we”, “us”, or “our”).
By accessing the Website or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Website or the Services.
This is an initial published version. We may update these Terms as the FloPay platform evolves. We will note material changes and update the effective date above.
1. Acceptance & Eligibility
By using the Website or the Services, you represent that (a) you are at least 18 years old and have the legal capacity to enter into a binding contract; (b) if you are using the Services on behalf of an entity, you are authorized to bind that entity to these Terms, and “you” refers to that entity; and (c) your use of the Services does not violate any applicable law in your jurisdiction.
The Services are not directed to individuals located in jurisdictions where their offer would be unlawful. We may restrict eligibility based on geography, sanctions screening, or risk posture at our reasonable discretion.
2. Scope
These Terms cover two related but distinct uses of FloPay:
- Website use. Visitor access to flopay.com and any marketing, documentation, or informational content we publish.
- Services use. Use of FloPay accounts, dashboards, APIs, SDKs, vaults, orchestration, and any other product surfaces, whether accessed by a human, a programmatic client, or an autonomous agent acting on your behalf.
Specific product features may be governed by additional terms, schedules, or order forms. In the event of a conflict, the more specific document controls for the matter it covers.
3. Definitions
- “Account” means your registered FloPay account used to access the Services.
- “Agent” means an autonomous or semi-autonomous software system — including AI agents, model-driven assistants, and orchestrators — that you authorize to act on your behalf with respect to the Services.
- “Customer Data” means information you or your Agents submit to the Services, including transaction data, instrument data, and configuration data.
- “Gateway” means a third-party payment processor, acquirer, card network, or financial institution that FloPay integrates with.
- “Transaction” means any payment, authorization, refund, token issuance, or other financial action initiated through the Services.
4. Permitted Use of the Website
The Website is provided for general information about FloPay. You may browse and link to public Website pages, provided you do not misrepresent your relationship to FloPay, frame the Website in a misleading way, or imply endorsement we have not given.
You may not scrape, mirror, or systematically harvest the Website, attempt to probe its security, or interfere with its availability for other visitors.
5. FloPay Services & Account
To use the Services, you must register an Account and provide accurate, current, and complete information. You are responsible for maintaining the security of your Account credentials and API keys, and for all activity that occurs under your Account.
Onboarding may include identity verification, business verification, sanctions screening, and risk review consistent with applicable law and our partner Gateways’ requirements. We may suspend or limit Account features pending the completion of these checks.
You are responsible for ensuring that any third party, employee, contractor, or Agent acting through your Account is authorized to do so and complies with these Terms.
6. Agent-Initiated & Autonomous Transactions
FloPay is designed for a world in which Transactions are initiated not only by humans clicking a button, but also by Agents acting on a principal’s behalf. This section describes how that authority works on the platform.
- Delegated authority. When you enable an Agent to act through your Account or via FloPay credentials you control, you authorize that Agent to initiate Transactions within the limits you configure, and you are responsible for those Transactions as if you had initiated them yourself.
- Configurable limits. You are responsible for setting and maintaining the spending limits, allowed counterparties, transaction types, and revocation policies that bound your Agents’ authority through the controls FloPay provides.
- Revocation. You may revoke an Agent’s authority at any time using the Services. Revocation takes effect prospectively; it does not unwind Transactions already authorized and submitted to a Gateway.
- Principal liability. As between you and FloPay, you remain the principal for all Transactions initiated by Agents acting under your authority, including any fees, chargebacks, refunds, and tax obligations arising from them.
FloPay may apply additional controls — including velocity limits, anomaly detection, and mandatory step-up — to Agent activity to protect the platform, our partners, and you.
7. Fees, Taxes, and Settlement
Fees for the Services are described in your order form, pricing page, or other agreement you accept with FloPay. Unless stated otherwise, fees are exclusive of taxes, and you are responsible for any sales, use, value-added, or similar taxes arising from your use of the Services.
Settlement timing depends on the underlying Gateway, your business profile, and risk posture. We will describe the applicable settlement terms in the Services.
You authorize FloPay to deduct fees from amounts payable to you, invoice you, or charge a designated payment method for fees due, in each case as described in your applicable order or pricing terms.
8. Acceptable Use Policy
You may not use the Services to:
- Violate any law, regulation, or third-party right.
- Process Transactions for businesses, products, or activities prohibited by our Gateways, card network rules, sanctions regimes, or our internal risk policies.
- Attempt to probe, scan, or test the vulnerability of the Services or to bypass any authentication, rate limit, or access control.
- Use the Services to facilitate fraud, money laundering, terrorist financing, or evasion of sanctions.
- Resell, repackage, or expose the Services as a payments platform to third parties without our prior written consent.
- Interfere with the integrity, availability, or performance of the Services or the data of other customers.
9. Intellectual Property
The Website, the Services, the FloPay name and marks, and all related software, documentation, and content are owned by FloPay or its licensors and are protected by intellectual property laws. Subject to your compliance with these Terms, FloPay grants you a limited, non-exclusive, non-transferable right to access and use the Services for your internal business purposes.
You retain ownership of your Customer Data. You grant FloPay the rights to host, process, and transmit Customer Data as needed to provide and improve the Services and to comply with law.
Any feedback you provide about the Services is non-confidential and may be used by FloPay without restriction or attribution.
10. Third-Party Links and Services
The Services integrate with and link to third-party Gateways, networks, and platforms. FloPay does not control these third parties, is not responsible for their availability or conduct, and does not endorse their content. Your use of any third-party service is governed by that third party’s terms.
11. Forward-Looking Statements
The Website and the Services may reference planned or in-development capabilities — for example, the FloPay MCP Server, the Agent Vault, the Agentic Discovery Network, and Smart Agentic Orchestration. Roadmap descriptions are forward-looking and reflect our current intent. They are not commitments to deliver any feature on any timeline, and you should not rely on them when making purchasing decisions.
12. Privacy & Cookies
Our handling of personal information is described in our Privacy Policy, and our use of cookies and similar technologies on the Website is described in our Cookie Policy. By using the Website or the Services, you acknowledge those policies.
13. Disclaimers
THE WEBSITE AND THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE FULLEST EXTENT PERMITTED BY LAW, FLOPAY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
FLOPAY DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY TRANSACTION WILL BE AUTHORIZED, SETTLED, OR COMPLETED BY A THIRD-PARTY GATEWAY.
14. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, FLOPAY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, EVEN IF FLOPAY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
FLOPAY’S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO FLOPAY FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100.00).
15. Indemnification
You will defend, indemnify, and hold harmless FloPay and its officers, directors, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to (a) your or your Agents’ use of the Services; (b) Customer Data; (c) your breach of these Terms; or (d) your violation of any applicable law or third-party right.
16. Suspension & Termination
We may suspend or terminate your access to the Website or the Services at any time if we reasonably believe you have violated these Terms, created risk for FloPay or our partners, or if required by law or by a Gateway.
You may stop using the Services at any time. Sections of these Terms that by their nature should survive termination — including IP, disclaimers, limitation of liability, indemnification, and governing law — will survive.
17. Changes to These Terms
We may update these Terms from time to time. The updated Terms take effect when posted on the Website. For material changes, we will provide reasonable advance notice — for example, by an in-product notification or email to the address associated with your Account. Your continued use of the Website or the Services after the effective date constitutes acceptance of the updated Terms.
18. Governing Law & Disputes
These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-laws principles.
Any dispute arising out of or relating to these Terms or the Services will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, with the arbitration seated in Wyoming, and judgment on the award may be entered in any court of competent jurisdiction.
Either party may bring an individual action in small-claims court for disputes within that court’s jurisdiction in lieu of arbitration. You and FloPay each waive the right to a jury trial and to participate in any class or representative proceeding.
